[ 주요 업무 / Key Responsibilities] 1) 전략적 글로벌 법무 자문 • 해외 진출 , 시장 전략 및 변화하는 규제 프레임워크에 대해 선제적이고 비즈니스 중심적인 법률 자문 제공 • 국제 상거래 계약 및 글로벌 파트너십 · 투자 이니셔티브의 전략적 구조 수립 , 협상 및 체결에 대한 법률 지원 자문 및 주도 2) 글로벌 M&A 및 전략적 투자 지원 • 글로벌 M&A, 합작 투자 (JV), 기업 지배구조 개편 등 복잡한 크로스보더 거래에 대한 법률 지원 전반 관리 ( 거래 구조 검토 , 계약서 초안 작성 , 협상 및 체결 포함 ) • 딜 초기 단계부터 클로징까지 사내 사업 부서 및 외부 자문사와 긴밀히 협력하여 종합적인 법률 실사 (Due Diligence) 관리 3) 글로벌 분쟁 및 리스크 관리 • 회사의 사업 목표와 평판을 보호하기 위한 다중 관할권 · 크로스보더 분쟁 관리 • 해외 사업 운영 , 거래 후 전환 및 통합 (PMI) 과정에서 발생하는 법적 리스크 식별 , 평가 및 완화 4) 팀 리더십 및 인재 육성 • 글로벌 법무 인력으로 구성된 팀을 리드 , 멘토링 및 육성 • 업무 방식 최적화와 더불어 , 우수한 성과 / 높은 책임감 추구하는 문화 조성 및 전문가로서의 지속적 성장 도모 - 1) Strategic Global Legal Advisory • Provide proactive, business-oriented legal guidance on international expansion, market strategies, and evolving regulatory frameworks. • Advise and lead legal support for strategic structuring, negotiation and execution of international commercial agreements and global partnership/investment initiatives. - - 2) Global M&A & Strategic Investments Support - • Oversee legal support for complex cross-border transactions including review of structure, drafting, negotiating, and execution of transaction documents for global M&As, joint ventures, and corporate restructurings. - • Manage comprehensive legal due diligence in close partnership with internal business stakeholders and external advisors from deal initiation through closing. - 3) Global Dispute & Risk Management - • Oversee multi-jurisdictional/ cross-border disputes to safeguard the company’s business objectives and reputation. - • Identify, assess, and mitigate legal risks across international operations, post-transaction transition and integration - 4) Team Leadership & Talent Development - • Lead, mentor, and develop a team of global legal professionals • Optimizing workflow, fostering a culture of excellence, high accountability, and continuous professional growth -

[ 기본 자격 요건 / Basic Qualifications ] • 미국 또는 기타 영미법권 / 영어권 관할권의 유효한 변호사 자격증을 소지한 Juris Doctor (J.D.) 또는 이에 준하는 법학 학위 소지자 • 다국적 기업 또는 탑티어 로펌에서 국제 기업 / 상법 , 크로스보더 거래 , 글로벌 M&A 분야 중심의 변호사 자격 취득 후 경력 (PQE) 10 년 이상 업무 경력 • 복잡한 영문 계약서 및 기업 법무 문서의 작성 , 협상 , 분석 분야에서 입증된 전문성 • 한국어 및 영어 모두 구두 및 서면 구사 유창하며 , 사업부서에 법률 분석 내용을 간결하고 명확하게 전달할 수 있는 역량 • 크로스보더 거래 , 협상 및 분쟁 관리 등 직무상 필요한 업무를 지원하기 위해 필요 시 국내외 출장 가능 - • Juris Doctor (J.D.) or equivalent legal degree with an active license to practice law in good standing in the U.S. or other common-law/English-speaking jurisdictions. - • Minimum of 10+ years of post-qualification legal experience (PQE) focused on international corporate/commercial law, cross-border transactions, or global M&As at multinational corporations or top-tier law firms. - • Demonstrated expertise in drafting, negotiating, and analyzing complex English-language contracts and corporate documents. - Bilingual fluency in English and Korean, verbal and written, with ability to concisely and clearly convey legal analysis to business counterparts. • Ability to travel domestically and internationally as needed to support cross-border transactions, negotiations, dispute management and other matters within scope of work required of the position. -
